Priority Ninja Developer Tools – Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Priority Ninja web site, Priority Ninja Developer Tools website, desktop agent, and related services (“the Service”). By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Independent Product – No Affiliation with Priority Software Ltd.

Priority Ninja Developers Power Tools is an independent tool created to analyze metadata stored in a customer’s Priority ERP database.
It is not affiliated with, endorsed by, or connected to Priority Software Ltd.

2. License to Use the Service

You are granted a non‑exclusive, non‑transferable, revocable license to use the Service for your own internal business purposes. You may not resell, sublicense, reverse‑engineer, or distribute the Service.

3. Local Processing Only

The Service operates entirely on the customer’s machine and does not transmit Priority ERP metadata outside the local environment.

4. User Responsibilities

You are responsible for ensuring lawful access to your Priority ERP database and compliance with your Priority ERP license.

5. Intellectual Property

All software, code, and documentation included in the Service are the intellectual property of Priority Ninja Developer Tools and its developer.

6. No Warranty

The Service is provided “as‑is” without warranties of any kind.

7. Limitation of Liability
The developer is not liable for any direct or indirect damages arising from use of the Service.

8. Updates and Changes
Continued use of the Service constitutes acceptance of updated Terms.

9. Termination
Access may be terminated if these Terms are violated.

10. Governing Law
These Terms are governed by the laws of Israel.
